1. Agreement to Terms

By accessing https://www.curlscape.com (the “Site”) or using any AI-driven voice, chatbot, or related consulting services provided by Curlscape Solutions Pvt. Ltd. (“Curlscape,” “we,” or “us”), you (“you” or “User”) agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Site or Services.

2. Eligibility

You must be at least 13 years old (or the minimum legal age in your jurisdiction) and have the legal authority to enter into this contract. If you are using the Services on behalf of a company, you represent that you have the authority to bind that company.

3. Accounts & Credentials

You may need an account to access certain features.
Keep your login credentials confidential.
You are responsible for all activity occurring under your account.
Notify us immediately of any unauthorised use or security breach.

4. License & Use of the Services

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services solely for lawful purposes and in accordance with these Terms. All rights not expressly granted are reserved by Curlscape.

5. Acceptable-Use Rules

You agree not to:

Reverse-engineer, decompile, or attempt to extract the source code of our models or software.
Upload or transmit any content that is unlawful, harmful, harassing, defamatory, obscene, or otherwise objectionable.
Use the Services to build competing products or services.
Interfere with, disrupt, or attempt to gain unauthorised access to any system or network.
Misrepresent your affiliation or impersonate any person or entity.

Violation may result in suspension or termination of your account.

6. AI-Generated Output & Disclaimers

Our Services leverage AI and large-language-model (LLM) technology. AI output is generated automatically and may contain errors or reflect biases present in training data. You are solely responsible for reviewing, verifying, and deciding whether to rely on any AI-generated content.

No professional advice – AI output is provided “as-is” for informational purposes only and does not constitute legal, financial, medical, or other professional advice.

7. Paid Plans, Fees & Billing

Pricing. Current plan tiers and fees are posted on the Site or in a written order form.
Billing cycle. Charges are invoiced monthly/annually in advance via Stripe.
Taxes. All fees are exclusive of applicable taxes; you agree to pay any VAT, GST, or sales tax owed.
Late payment. Past-due amounts may accrue interest at 1.5% per month or the maximum allowed by law.
Refund policy. Refunds are available within 30 days of purchase for unused services, subject to our refund policy posted on the Site.

8. Intellectual-Property Rights

Our IP. We own all intellectual-property rights in the Site, Services, software, models, and underlying data (except your own submitted content).
Your content. You retain ownership of data or content you provide. You grant Curlscape a worldwide, non-exclusive licence to process that data solely to operate and improve the Services, as described in our Privacy Policy.
Feedback. Suggestions or feedback you provide may be used by us with no obligation to you.

9. Third-Party Services & Links

The Services may integrate with or link to third-party tools (e.g., CRM systems, payment gateways). Your use of those services is governed by their own terms, and Curlscape is not responsible for third-party content or practices.

10. Disclaimers

The Services are provided “AS IS” and “AS AVAILABLE.” Curlscape disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.

11. Limitation of Liability

To the fullest extent permitted by law:

Curlscape’s total liability arising out of or related to these Terms shall not exceed the amount you paid us during the 12-month period preceding the claim; and
Curlscape shall not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, goodwill, or business opportunities, even if we were advised such damages were possible.

Some jurisdictions do not allow certain liability limitations; if so, those limits apply only to the extent permitted by law.

12. Indemnification

You agree to indemnify and hold harmless Curlscape, its directors, officers, employees, and agents from any claims, losses, damages, liabilities, and expenses (including attorneys’ fees) arising out of your: (a) use or misuse of the Services; (b) breach of these Terms; or (c) violation of any law or the rights of a third party.

13. Termination

Either party may terminate these Terms at any time:

By you – Deactivate your account or stop using the Services.
By us – We may suspend or terminate your access for any violation of these Terms or for lawful business reasons.

Upon termination, your licence ends and you must stop using the Services. Sections 8–19 survive termination.

14. Governing Law & Dispute Resolution

Governing law. These Terms are governed by and construed under the laws of India, without regard to conflict-of-law principles.
Arbitration. Any dispute shall be finally resolved by binding arbitration in Pune, India, under the Arbitration & Conciliation Act, 1996. Judgment on the award may be entered in any court with jurisdiction.
Opt-out – If you prefer court litigation, you may opt out of arbitration by sending a written notice to legal@curlscape.com within 30 days of first accepting these Terms.

15. Changes to These Terms

We may update these Terms periodically. Material changes will be notified at least 14 days in advance via email or a prominent Site notice. Continued use after the effective date constitutes acceptance.

16. Entire Agreement

These Terms, together with our Privacy Policy and any signed order forms, constitute the entire agreement between you and Curlscape regarding the Services, and supersede all prior agreements, communications, or understandings.

17. Severability

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force.

18. No Waiver

Our failure to enforce any right or provision of these Terms is not a waiver of that right.
